General Terms and Conditions of the SuperStand.Com Internet Platform

1. Introduction

1.1. The internet platform superstand.com is operated by Jordan Trading GmbH, Planckstrasse 31, 47877 Willich, Germany (hereafter 'Superstand'). It is intended for exhibitors (hereafter 'exhibitors') and for companies which provide services in the trade fair and exhibition sectors (hereafter 'companies').

1.2. Use of the superstand.com internet platform is permitted only for entrepreneurs as defined in Section 14 of the German Civil Code (BGB). In particular, utilisation by consumers, in the sense of Section 13 of the BGB, is not permitted.

1.3. These General Terms and Conditions are applicable in the version valid at the time of the respective use of the internet platform superstand.com for (1.) all reciprocal rights arising out of, and in connection with, the use of the internet platform superstand.com, as well as (2.) any contracts concluded as a result of, or during use of, the internet platform superstand.com, except where otherwise stipulated.

2. Content of the licence agreement

2.1. Superstand makes the internet platform described in the introduction available for use by exhibitors and companies. . Registered exhibitors can publish sincere project plans and/or enquiries in the exhibition and trade fair sector on superstand.com free of charge by using the online form provided for the purpose. In the description and presentation of their project, the exhibitor may employ only such information, data, descriptions, signs, symbols or images as they are authorised to use, and in particular only those which do not conflict with any third party rights. Publication takes place anonymously following approval of publication by Superstand. No legal claim exists to approval and publication. Publication of a project by an exhibitor does not constitute any binding offer that a contract will be concluded. Rather it is a matter of a non-binding invitation to establish contact.

2.2. At its own discretion, Superstand will forward a registered exhibitor's project they have approved to registered companies who, in the estimation of Superstand, are suitable for its implementation, in non-anonymous format and, where necessary, supplemented with additional information. Superstand has no influence on the communication of offers from companies to the exhibitor, and in its relationship with the exhibitor is not obliged to guarantee the communication of offers by companies.

2.3. The forwarding of the project data to the company presupposes the prior conclusion of a separate agreement between Superstand and the company. Superstand will transmit an appropriate offer of contract to the company beforehand. The company is free to decide whether to conclude such a contract with Superstand.

2.4. The company is free to choose whether to conclude a contract with the exhibitor.

2.5. Superstand does not act as an agent between exhibitors and companies. Its role is limited to forwarding the enquiry/project to the company. Superstand has no involvement in contracts concluded between exhibitors and companies or their preparation, and in particular not in the role of contracting party, representative or assistant. The contracting parties in contracts concluded between exhibitors and companies are exclusively the exhibitors and companies themselves. The conclusion of a contract between exhibitor and company, and the implementation of such a contract, are entirely the parties's own responsibility.

2.6. In addition to cost-free services, Superstand also offers non-gratuitous services via the internet platform superstand.com. Except in the case of a different agreement, these General Terms and Conditions also apply to these contractual relationships, in addition to the statutory regulations.

2.7. Photographs published by the user in the course of registration or, at a later stage, as part of their profile will also be published in the section of the superstand.com internet platform known as the "Booth Library". Superstand is authorised to prepare the explanations of the photographs required in this section itself, unless they have already been prepared by the user. The user is entitled to contest this wider publication and/or the explanations prepared by Superstand.

2.8. In the area of the superstand.com internet platform described as 'Truck Sharing Service' , registered users can publish information enabling other users to establish contact with a view to shared use of resources, in particular transport facilities. The contents of these insertions are the exclusive responsibility of the relevant user. Superstand accepts no responsibility for the accuracy of the information.

3. Registration, conclusion of user agreement, acceptance of General Terms and Conditions

3.1. Use of the internet platform first requires the free registration of exhibitors and companies as members. Registration is only permitted for entrepreneurs in the sense of Section 14 of the BGB. It is effected by filling out and sending in the registration form provided online, followed by the activation of the member account by Superstand. There exists no prior claim to activation by Superstand. Registration is only possible after prior agreement to the validity of these General Terms and Conditions by activation of the relevant button or the relevant field. Superstand is authorised to formulate the legal relationships with exhibitors and companies for individual services and activities according to special General Terms and Conditions, or in other ways which deviate from these General Terms and Conditions.

3.2 Following successful registration, the company data entered on the registration form will be published on superstand.com. The company must use here only such information, data, descriptions, signs, symbols or images as they are entitled to use, and which in particular do not conflict with any third party rights.

3.3. No prior claim exists to activation of the member account and, with it, utilisation of the superstand.com internet platform. In particular, Superstand is authorised, at its own discretion, to process the registration and/or renewal of membership independently on the basis of information or documents such as excerpts from records, proof of qualifications or information on credit rating.

3.4. The information required during registration or elsewhere on the superstand.com internet platform must be entered correctly and in full. The information must be kept up to date. In particular, Superstand is authorised to check the accuracy of the statements at any time and demand proof of their accuracy.

4. Cancellation, length of contract

Where the user agreement is cost-free, Superstand, exhibitors and companies are entitled to terminate the relationship at any time without observance of a period of notice, except when expressly agreed otherwise. Non-gratuitous contracts are concluded for an agreed period. They are always renewed for the same contract period, unless they are cancelled by one of the contractual parties, subject to the observance of a period of notice of one month before the end of the contract. The rights of all contracting parties to exceptional termination remain unaffected.

5. Responsibility and liability for contents

5.1. Exhibitors and companies are themselves exclusively responsible for contents they produce during use of superstand.com. For Superstand they represent external contents which Superstand does not adopt as its own. In particular the exhibitors and companies producing them are themselves responsible for attention to third party rights and compliance with all statutory and legal provisions. Where there are grounds for suspecting unlawful or illegal content, Superstand is entitled to delete the content.

5.2. Exhibitors and companies release Superstand from all claims asserted by third parties against Superstand on grounds of infringement of their rights by contents or information published on superstand.com by exhibitors and companies. In particular, they take responsibility for the costs of any necessary legal defence by Superstand at the statutory amount, unless the member does not have to represent the rights infringement. Superstand expressly reserves the right to assert further claims, in particular for damage compensation or neglect.

5.3. Superstand provides no guarantee for the accuracy of the information published by users on superstand.com or for the sincerity of the projects, enquiries and information published there. This also applies in as far as Superstand provides registered users with the opportunity for direct contact, as for example in the case of the "Resource Sharing Service" section of the site.

6. Limitations of liability

6.1. Except where stipulated in the following regulations, in cases of infringement of contractual or extra-contractual responsibilities Superstand is liable according to the statutory provisions.

6.2. Superstand is obliged to provide compensation for damages resulting from breach of obligations only in cases of wilful intent or gross negligence on the part of Superstand, its legal representatives, or its servants. This restriction does not apply in cases of damage to life, person or health, or a liability according to the Product Liability Act. It also does not apply when it is a case of neglect of an essential contractual duty (an obligation whose fulfilment is necessary for the correct implementation of the contract in the first place, and on observance of which the contracting partner must regularly depend).

6.3. Superstand provides no guarantee of access to the internet platform superstand.com. In particular, this may be reduced or suspended owing to technical difficulties for which Superstand is not liable, or through force majeure. The same also applies in cases where maintenance work is being undertaken.

7. Prices, taxes

Prices quoted and agreed upon are net prices, and in particular do not include Value Added Tax. This will be included by Superstand in the invoice at the statutory amount if applicable.

8. Choice of law, place of fulfilment, place of

8.1. The user contract is subject to the law of the German Federal Republic, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

8.2. Place of fulfilment for all services in the user agreement is the registered office of Superstand.

8.3. Place of jurisdiction for all disputes arising from, or in connection with, use of the superstand.com internet platform, as well as for all contracts concluded during use of superstand.com, is the registered office of Superstand, insofar as the user is a mercantile trader in the sense of the German Commercial Code (HGB).

8.4. The invalidity of one of the regulations of these General Terms and Conditions leaves the validity of the other regulations unaffected.
